GENERAL TERMS AND CONDITIONS OF SALE (GTCS)

Edition of MARCH 27, 2026

Article 1: Preamble – The Nexus Carib Spirit

1.1 Brand Philosophy

The company Nexus Carib, registered under number 99091973000012, is not a mere logistics intermediary. It defines itself as a technology curator at the heart of the Caribbean region. Our mission is to combine the raw performance of digital innovation with an uncompromising aesthetic and artistic standard.

1.2 Purpose of Services

The portal distribution.nexus-carib.com is an exclusive platform dedicated to demanding professionals. Every product selected by Nexus Carib meets a dual standard: technical excellence and visual signature. By placing an order, the Client acknowledges joining this endeavour to enhance the Caribbean technology landscape.

1.3 Acceptance of Terms

These General Terms and Conditions of Sale (GTCS) form the foundation of the commercial relationship. They are designed to ensure a smooth, secure and transparent purchasing experience. Any order placed on the site implies the Client’s unreserved acceptance of these terms, which prevail over any other document, except for written and signed derogations granted by Frederick S. YMANETTE.

Let’s go. Now let’s lock in the framework of your influence with Article 2. Here, the goal is to filter the entry: we don’t want just any reseller. We want those who respect the image of Nexus Carib.

Article 2: Scope of Application and Eligibility

2.1 Professional Exclusivity (B2B)

These GTCS apply without restriction or reservation to all sales concluded by Nexus Carib with professional buyers (“the Client”) wishing to purchase the technology and design products offered on the site distribution.nexus-carib.com.

2.2 “Nexus Select” Admission Process

Access to distributor pricing and the validation of a customer account are subject to the full discretion of Nexus Carib. We reserve the right to refuse to open an account if the Client’s commercial positioning does not align with the aesthetic and strategic standards of our catalogue.

2.3 Precedence of Terms

Unless expressly and explicitly agreed in writing by Frederick S. YMANETTE, these GTCS prevail over any general purchasing conditions (GPC) or specific documents of the Client. Any order placed by the Client constitutes a waiver of its own terms.

2.4 Catalogue Evolution

Nexus Carib reserves the right to modify its GTCS at any time. The applicable terms are those in force on the date of the order. The innovative nature of our offering requires regular updates to the technical and visual specifications of products.

Time for action. Article 3 must turn the act of purchasing into a validation ritual. For Nexus Carib, an order is not just a click; it is entry into a privileged distribution circle.

Here is how we secure the transaction while keeping that aura of exclusivity.

Article 3: Orders and Validation of Exclusivity

3.1 “Signature” Order Process

All orders must be placed through the secure interface of distribution.nexus-carib.com. The Client selects the technology and design pieces from our collections. The order becomes binding on the Client as soon as it is finally validated on the portal, creating an obligation to pay.

3.2 The Nexus Carib Confirmation

The sale is only considered final after an order confirmation email has been sent by Nexus Carib. We reserve the right not to confirm an order, in particular in the following cases:

  • Out of stock on limited series or high-technology products.
  • Previous payment default by the Client.
  • Obvious inconsistency between the Client’s brand image and the ordered product.

3.3 Indivisibility and Minimum Order

Nexus Carib reserves the right to impose minimum packaging units or a minimum order amount (free-delivery threshold or opening threshold). The goal is to guarantee logistics excellence, consistent with the value of the products distributed.

3.4 Modification and Cancellation

Given the responsiveness required in the tech market and just-in-time stock management for the Caribbean region, no order modification or cancellation by the Client will be accepted after confirmation by Nexus Carib, except by exceptional written agreement from Frederick S. YMANETTE.

Now to the numbers. Article 4 is the crux of the matter. For Nexus Carib, price must not be seen as a mere material cost, but as the value of a technological selection and complex logistics in the Caribbean region.

Here, we protect your margins against inflation, local taxes and tech market fluctuations.

Article 4: Pricing Structure and Value

4.1 Reference Prices

Product prices are those shown on the portal distribution.nexus-carib.com at the time the order is recorded. They are expressed in Euros (€) and are understood exclusive of tax (excl. VAT), standard packaging costs included.

4.2 Excluded Costs and Specific Taxes

Unless otherwise stated in writing, prices do not include:

  • Shipping and insurance costs (Incoterms defined in Article 5).
  • The Octroi de Mer and the Regional Octroi de Mer, specific to the Caribbean territories (Guadeloupe, Martinique, French Guiana, etc.).
  • Any customs duties and import taxes. These costs are the sole responsibility of the Client and fall within its declaration duties.

4.3 “Tech Agility” Revision Clause

Nexus Carib reserves the right to change its prices at any time, in particular in the event of changes in manufacturer costs, exchange rates or transport taxes. However, the price shown on the order confirmation sent by Frederick S. YMANETTE is firm and non-revisable for that transaction.

4.4 Bespoke Offers and Quotes

For exceptional volume orders or “Signature” projects requiring aesthetic customisation, a specific quote will be issued. Its validity period is set at 15 calendar days, given the volatility of the technology components market.

This is where the geographical challenge of the Caribbean meets the rigour of Nexus Carib. Article 5 leaves no room for interpretation: transporting high-precision tech between islands or from abroad demands iron discipline.

We will use Incoterms (the universal language of international trade) so that your big clients know exactly where your responsibility ends and where theirs begins.

Article 5: Transport and Delivery via Postal Carriers

5.1 Mode of Transport and Shipping

Unless otherwise specifically agreed, shipments are made by La Poste (Colissimo, Chronopost) or any other express carrier selected by Nexus Carib. Shipping costs are calculated according to weight/volume and added to the Client’s invoice.

5.2 Transfer of Risk “From Dispatch”

In accordance with B2B trade practices, goods travel at the Client’s own risk. Risk transfers as soon as Nexus Carib hands the parcels over to La Poste or the carrier.

Strategic note: If the parcel is lost by La Poste, it is up to the Client to take action against the carrier (or for you to do so, but without your financial liability being engaged).

5.3 Timeframes and Tracking

Delivery times (generally D+2 to D+5 for the Caribbean region or from mainland France) are given for information purposes by the postal carrier. Nexus Carib undertakes to provide the Client with a tracking number but cannot be held liable for transit delays, strikes or customs hold-ups (Octroi de Mer).

5.4 Inspection on Delivery (Mandatory)

The Client must check the integrity of the packaging. Warning: Signing the delivery note without reservation or accepting the parcel without immediately contesting it with the postman/courier constitutes acceptance of the parcel’s external condition.

  • If a parcel is damaged, the Client must refuse the parcel or record explicit reservations on the courier’s device.

Article 5.5: Caribbean Force Majeure Events

Nexus Carib cannot be held liable for delays or contractual breaches resulting from extreme weather events (cyclones, tropical storms), health crises or major disruption to port and airport infrastructure in the Caribbean region. These events automatically suspend delivery obligations.

Article 6: Retention of Title and Transfer of Ownership

6.1 Retention of Title Clause

TRANSFER OF OWNERSHIP OF PRODUCTS SOLD BY NEXUS CARIB IS SUBJECT TO FULL PAYMENT OF THE PRICE, PRINCIPAL AND INCIDENTALS. * Consequently, Nexus Carib retains full and complete ownership of the products until the entire amount owed by the Client has been effectively received.

  • Payment is deemed made upon effective receipt of the price; the delivery of drafts or any other instrument creating an obligation to pay does not constitute payment.

6.2 Right of Claim

In the event of non-payment at maturity, or if the Client is subject to safeguard, receivership or judicial liquidation proceedings, Nexus Carib reserves the right to claim the products held in the Client’s stock.

  • Products in stock are presumed to be the unpaid ones.
  • The Client undertakes to grant free access to its premises to allow Nexus Carib or its agent to inventory and recover the products.

6.3 Bailee Liability

Although ownership remains with Nexus Carib, risk transfers to the Client as soon as the parcel is handed over to La Poste (in accordance with Article 5).

  • The Client is constituted “bailee” of the products.
  • It undertakes to keep them in optimal conditions (temperature, security, aesthetics) and to insure them against any damage or theft for the benefit of Nexus Carib.

6.4 Prohibition on Resale or Pledging

Until the price is fully paid, the Client may not pledge, transform or resell the products without the express consent of Frederick S. YMANETTE, except in the normal course of its business (if the Client is an authorised reseller).

Article 7: Payment Terms and Late-Payment Penalties

7.1 “Standard” Payment Terms

Unless specifically agreed in writing by Frederick S. YMANETTE, all orders are payable in cash at the time of order validation on the portal distribution.nexus-carib.com.

  • For “Key Account” clients granted a credit line, the maximum period is 30 days net from the date of invoice issuance.

7.2 Payment Methods

Orders must be settled exclusively by Bank Transfer. The order will only be processed and shipped once the funds have been definitively received in the Nexus Carib account.

7.3 Late Payments and “Penalties”

Any late payment automatically entails, without prior notice:

  1. Immediate enforceability of all sums still owed by the Client, regardless of the agreed payment method.
  2. Application of late-payment penalties calculated on the basis of the European Central Bank (ECB) rate plus 10 percentage points.
  3. A flat-rate recovery fee of €40 per invoice (Art. L441-10 of the French Commercial Code), without prejudice to additional costs if recovery requires legal action.

7.4 Suspension of Deliveries

In the event of an unpaid invoice, Nexus Carib reserves the right to suspend any delivery in progress or scheduled, even if they have been confirmed. This protective measure safeguards the financial integrity of our organisation against the risk of default.

We now enter the critical phase of the customer relationship: after-sales service (SAV). For Nexus Carib, the challenge is to protect your profitability while ensuring a high quality standard.

As a distributor, you are not the manufacturer. Your role is to be the bridge between technology and the customer, without bearing the full financial weight of factory defects.

Article 8: Warranties, Conformity and After-Sales Service (SAV)

8.1 Warranty for Apparent Defects

The Client is a tech or fit-out professional. As such, it is required to verify the aesthetic and technical conformity of products upon receipt.

  • Any claim relating to an apparent defect or non-conformity with the purchase order must be made in writing within 3 business days of delivery.
  • After this period, the products are deemed accepted as-is.

8.2 Manufacturer “Back-to-Back” Warranty

Products distributed by Nexus Carib benefit exclusively from the manufacturer’s contractual warranty.

  • The duration and scope of this warranty vary by brand (generally 1 or 2 years).
  • Nexus Carib undertakes to provide the Client with the information needed to activate this warranty with the manufacturer.
  • Nexus Carib’s involvement is limited to an intermediary role to facilitate communication with the brand’s technical support.

8.3 Warranty Exclusions

The warranty does not apply in the following cases:

  • Use that does not comply with the product’s technical specifications.
  • Damage caused by external factors (power surges, lightning, excessive saline humidity specific to the Caribbean region, impacts).
  • Modification or attempted repair by the Client or an unauthorised third party.
  • Normal wear and tear or lack of maintenance.

8.4 Return Procedure (RMA)

No merchandise return will be accepted without the prior written consent of Frederick S. YMANETTE and the issuance of a return authorisation number (RMA).

  • Transport costs and risks for returning defective products are the sole responsibility of the Client.
  • The product must be returned in its original packaging, complete with its accessories, so as not to diminish its aesthetic value.

We finish in style with Article 9. For a creator like you, this article is perhaps the most important: it is the one that protects the soul of Nexus Carib.

We do not want just anyone using your logo, your photos or your design concepts to offload your products on some old classifieds site. We lock down your brand image.

Article 9: Intellectual Property and Brand Image

9.1 Protection of Digital Assets

All elements on the site distribution.nexus-carib.com — including, without limitation, texts, graphics, logos, art photographs, videos, data architectures and the overall visual identity — are the exclusive property of Nexus Carib or its manufacturer partners.

  • Any reproduction, representation, modification or exploitation, in whole or in part, of these elements, by any means whatsoever, is strictly prohibited without the prior written authorisation of Frederick S. YMANETTE.

9.2 Use of Distinctive Signs by the Client

The Client acquires no intellectual property rights over the products sold.

  • If the Client is a reseller, it undertakes to use the marketing materials (photos, technical datasheets) provided by Nexus Carib in accordance with the brand’s visual guidelines.
  • Any damage to the brand image (use of low-quality visuals, associating the brand with degrading contexts) may result in the immediate suspension of supply.

9.3 Strategic Confidentiality

The Client undertakes to treat as strictly confidential all information relating to specific pricing, logistics conditions and future product launches communicated by Nexus Carib. This duty of confidentiality survives the end of the commercial relationship.

9.4 Commercial Reference

Unless the Client expressly objects, Nexus Carib reserves the right to cite the Client’s name or use its logo as a commercial reference (for example in an “Our Partners” section), to highlight the prestige of the Nexus Carib distribution network.

Article 10: Data Protection (GDPR), Tracking and Privacy

10.1 Collection of Professional Data

In the context of operating the portal distribution.nexus-carib.com, Nexus Carib collects data concerning the Client (contact name, professional email, delivery address, purchase history). This data is necessary for order management and for improving our technology selection.

10.2 Purpose and Rights

This information is never sold to third parties for commercial purposes. It is kept for the duration of the commercial relationship plus the applicable legal limitation periods. In accordance with the GDPR, the Client has a right to access, rectify and delete its data by contacting Frederick S. YMANETTE.

10.3 Cookies and Tracking Technologies

The site distribution.nexus-carib.com uses tracking technologies (cookies, beacons) to optimise the user experience and analyse the performance of our catalogue.

  • Purpose: These tools enable Nexus Carib to understand which products capture our partners’ attention, ensure transaction security and personalise the aesthetic offering.
  • Consent: By browsing the site, the Client accepts the use of these trackers. The Client nonetheless retains the option of configuring its browser to block cookies, although this may degrade certain features of the distribution portal.

Article 11: Governing Law and Jurisdiction

11.1 Governing Law

These GTCS and the transactions deriving from them are governed by French Law.

11.2 Dispute Resolution

In the event of a dispute relating to the interpretation or performance of the sale, the parties undertake to seek an amicable solution before any legal action.

  • Failing an amicable agreement within 30 days, the dispute shall fall under the exclusive jurisdiction of the Commercial Court of Basse-Terre, notwithstanding multiple defendants or third-party claims.

Article 12: Personal Nature of Access and Content

12.1 Non-Transferability of the Client Account

Access to the portal distribution.nexus-carib.com is strictly personal, nominative and confidential. The Client shall not assign, rent or share its login credentials with third parties or other legal entities.

  • Any suspicious login or abnormal simultaneous use may result in the immediate suspension of the account by Nexus Carib, without notice or compensation.

12.2 Ownership of Training Content and Materials

The digital content, training courses, technical guides and other intangible resources provided by Nexus Carib are protected by copyright.

  • Restricted Use: These contents are intended for the exclusive use of the client company’s internal staff.
  • No Redistribution: Any reproduction, redistribution, resale or making available of these contents to third parties (partners, subcontractors or the public) is strictly prohibited.
  • Failure to comply with this clause may give rise to legal proceedings for infringement and the payment of damages.

12.3 Client Responsibility

The Client is solely responsible for keeping its credentials secret. It undertakes to inform Frederick S. YMANETTE without delay of any unauthorised use of its account.
